Welcome to iUpcycle.com! These Terms and Conditions ("Terms") govern your access to and use of the iUpcycle.com website, including any content, functionality, and services offered on or through iUpcycle.com (the "Website").
By accessing or using the Website, you agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Website.
1. Acceptance of Terms
By creating an account, uploading content, or otherwise using the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms. iUpcycle.com reserves the right to update or modify these Terms at any time without prior notice. Your continued use of the Website after any such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically for changes.
2. User Accounts
a. Registration: To access certain features of the Website, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
b. Account Security: You are solely responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify iUpcycle.com immediately of any unauthorized use of your account or any other breach of security. iUpcycle.com will not be liable for any loss or damage arising from your failure to comply with this security obligation.
c. Eligibility: You must be at least 18 years old to use the Website.
3. User-Generated Content (UGC)
a. Content Ownership: You retain all ownership rights in your User-Generated Content (UGC), including but not limited to videos, images, text, articles, notes, comments, and links that you upload, post, or transmit through the Website.
b. License to iUpcycle.com: By uploading, posting, or transmitting UGC to the Website, you grant iUpcycle.com a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your UGC in connection with the Website and iUpcycle.com's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Website (and derivative works thereof) in any media formats and through any media channels.
c. Representations and Warranties Regarding UGC & Copyright:
* You are solely responsible for your UGC and the consequences of posting or publishing it.
* You affirm, represent, and warrant that: (i) you own or have the necessary licenses, rights, consents, and permissions to use and to authorize iUpcycle.com to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all UGC to enable inclusion and use of the UGC in the manner contemplated by the Website and these Terms; and (ii) you have the written consent, release, and/or permission of each and every identifiable individual person in the UGC to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of the UGC in the manner contemplated by the Website and these Terms.
* Specifically regarding videos and images, you must ensure that you own the copyright or have explicit permission from the copyright holder to upload, share, and grant the necessary licenses to iUpcycle.com as outlined above. You acknowledge that uploading copyrighted material without proper authorization is a violation of these Terms and may subject you to legal liability.
d. Prohibited Content: You agree not to upload, post, or transmit any UGC that:
* Is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
* Infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party.
* Constitutes unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation.
* Contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment.
* Impersonates any person or entity or falsely states or otherwise misrepresents your affiliation with a person or entity.
* Violates any applicable local, national, or international law or regulation.
e. Monitoring and Removal: iUpcycle.com reserves the right (but has no obligation) to pre-screen, monitor, review, or edit any UGC at its sole discretion, and to remove any UGC for any reason, including but not limited to, violations of these Terms. iUpcycle.com is not responsible for any failure or delay in removing such content.
4. Links to Third-Party Websites and Content
The Website may contain links to third-party websites or resources. You acknowledge and agree that iUpcycle.com is not responsible or liable for: (i) the availability or accuracy of such websites or resources; or (ii) the content, products, or services on or available from such websites or resources. Links to such websites or resources do not imply any endorsement by iUpcycle.com of such websites or resources or the content, products, or services available from such websites or resources. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources.
5. Intellectual Property Rights of iUpcycle.com
All content on the Website (excluding UGC), including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the property of iUpcycle.com or its content suppliers and protected by international copyright laws. The compilation of all content on this site is the exclusive property of iUpcycle.com.
6. Disclaimer of Warranties
The Website and its content are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied. iUpcycle.com disclaims all warranties, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. iUpcycle.com does not warrant that the Website will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
7. Limitation of Liability

You agree to defend, indemnify, and hold harmless iUpcycle.com and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of: (i) your use and access of the Website, by you or any person using your account and password; (ii) your breach of these Terms; (iii) your violation of any rights of a third party, including without limitation any copyright, property, or privacy right; or (iv) any claim that your UGC caused damage to a third party.
9. Termination
We may terminate or suspend your account and bar access to the Website immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. If you wish to terminate your account, you may simply discontinue using the Website. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
10. Governing Law and Jurisdiction
These Terms shall be governed and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.
11. Entire Agreement
These Terms and our Privacy Policy constitute the entire agreement between you and iUpcycle.com regarding the use of the Website, superseding any prior agreements between you and iUpcycle.com regarding your use of the Website.
